Terms of Service.

These Terms of Service ("Terms") govern your access to and use of the ChinaAPI service at chinaapi.ai and dash.chinaapi.ai (the "Service"), operated by ApexNodes (Hong Kong) Limited ("ApexNodes", "ChinaAPI", "we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Recharge & Refund Agreement. If you do not agree, do not use the Service.

1. The Service

ChinaAPI is an API gateway. We provide a single, OpenAI-compatible API endpoint through which you can send requests to third-party artificial-intelligence models, including large language models and image and video generation models operated by their respective providers (the "Models"). We aggregate access, handle authentication and metered billing, and route your requests to the upstream provider.

ChinaAPI does not own, train, host, or control the Models. The Models are operated by third parties, and their behavior, availability, and output are determined by those providers. We act solely as an access and billing intermediary.

3. Eligibility and Account

3.1 You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind it.

3.2 You are responsible for the accuracy of your registration information, for the security of your credentials and API Keys, and for all activity that occurs under your Account. Notify us promptly at solution@chinaapi.ai if you suspect unauthorized use. Do not share, sell, or transfer your Account or API Keys.

4. Acceptable Use

You agree not to use the Service to:

4.1 violate any applicable law or regulation, or infringe the rights of others;

4.2 generate, distribute, or facilitate content that is illegal, that sexually exploits or endangers minors, that promotes violence, terrorism, self-harm, or unlawful discrimination, or that constitutes fraud, malware, spam, or unauthorized data scraping;

4.3 violate the terms, acceptable-use policies, or usage restrictions of any upstream Model provider; those policies apply to your use of the corresponding Models through the Service;

4.4 attempt to bypass, disable, or interfere with rate limits, quotas, security controls, or the integrity of the Service;

4.5 resell, sublicense, or provide the Service to third parties as a standalone product without our prior written consent; or

4.6 misrepresent Model Output as human-generated where disclosure is legally required, or use Output in a manner that violates any Model provider's restrictions.

We may set and adjust rate limits and may refuse, throttle, or filter requests that we reasonably believe violate these Terms.

5. Credits, Pricing, and Billing

5.1 The Service is prepaid. You add Credits to your Account and they are consumed as you make requests. Pricing is metered per usage (for example, by token count, request, or generated media) at the rates published at dash.chinaapi.ai/pricing, which we may update from time to time.

5.2 New accounts may receive promotional trial Credits. Promotional Credits are not purchased value, may expire, and are non-refundable.

5.3 Purchases, balance validity, invoicing, and refunds are governed by the Recharge & Refund Agreement.

5.4 You are responsible for any taxes associated with your use of the Service, except taxes on our net income.

6. Third-Party Models and Output

6.1 Model Output is generated by third-party providers and is provided "as is." We do not guarantee that Output is accurate, complete, current, lawful, non-infringing, or fit for any purpose. You are responsible for evaluating Output before relying on it.

6.2 As between you and ChinaAPI, and subject to each Model provider's terms, you retain your rights in your Input and in the Output you generate. You are responsible for your Input and for how you use Output.

6.3 Your Input is transmitted to the relevant upstream provider to fulfill your request. Such providers may be located in mainland China and will process your Input under their own terms and privacy practices. See our Privacy Policy.

7. Availability and Support

The Service and the Models are provided on a commercially reasonable, best-effort basis. We do not guarantee uninterrupted or error-free operation, and upstream availability is outside our control. Current status is published at chinaapi.ai/status. Support is available at solution@chinaapi.ai and via the channels in Section 13.

8. Intellectual Property

The Service, including its software, dashboard, documentation, and branding, is owned by ChinaAPI and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

9. Disclaimers

To the maximum extent permitted by applicable law, the Service and all Output are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ChinaAPI will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenues, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid to ChinaAPI in the three (3) months preceding the event giving rise to the claim, or (b) fifty U.S. dollars (US$50).

11. Indemnification

You agree to indemnify and hold harmless ChinaAPI from any claims, damages, liabilities, and expenses arising out of your Input, your use of Output, your violation of these Terms, or your violation of any law or third-party right.

12. Suspension and Termination

12.1 You may stop using the Service at any time. You may request closure of your Account and a refund of eligible unused Credits under the Recharge & Refund Agreement.

12.2 We may suspend or terminate your Account, with or without notice, if you violate these Terms, if required by an upstream provider or by law, or to protect the Service or other users. For suspensions due to abuse or fraud, unused Credits may be withheld pending review.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above and, where appropriate, communicated through the Service. Your continued use after changes take effect constitutes acceptance.

14. Governing Law and Disputes

These Terms are governed by applicable law. The parties will first attempt to resolve any dispute informally by contacting solution@chinaapi.ai. Definitive governing-law and venue details are provided during enterprise onboarding and are available on request.
